Terms of Service

Herald Engine is a cold email outreach platform. It lets you build and verify lead lists, connect your own email sending accounts, run automated campaigns and follow-up sequences, and review engagement analytics.

You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. Notify us promptly at support@heraldengine.com if you suspect unauthorized access.

You agree not to use Herald Engine to:

• Send unsolicited email in violation of CAN-SPAM, GDPR, CASL, or any other applicable law.
• Send messages with false, deceptive, or misleading headers, sender names, or subject lines.
• Omit a functioning unsubscribe mechanism or a valid physical mailing address where one is required.
• Contact recipients who have unsubscribed or otherwise asked not to be contacted.
• Send malware, phishing, or content that infringes another party's rights.
• Upload lead data you do not have a lawful basis to process.
• Circumvent sending limits, rate limits, or any other technical restriction of the platform.

You are solely responsible for the content of your campaigns and for the lawfulness of your lead data. We may suspend an account that puts platform deliverability or other customers at risk.

When you connect a Gmail, Google Workspace, Outlook, or SMTP account, you authorize Herald Engine to send messages on your behalf and to read replies for the purposes described in the Privacy Policy. You must also comply with the terms of the email provider you connect. You can disconnect an account at any time.

Paid plans are billed in advance, monthly or annually, through Stripe. Trials convert to the plan you select unless cancelled before the trial ends. Plans renew automatically until cancelled. You may cancel at any time from billing settings; cancellation takes effect at the end of the current period. Fees already paid are non-refundable except where required by law.

You retain ownership of the lead data and campaign content you bring to the platform. You grant us a limited licence to host and process it solely to provide the service. Our handling of personal data is described in the Privacy Policy.

We work to keep the service available and reliable, but we do not guarantee uninterrupted access. We may modify or discontinue features, and will give reasonable notice of material changes that affect paid plans.

We may suspend or terminate an account that breaches these terms, creates legal risk, or harms the platform or its users. You may close your account at any time. On termination, your right to use the service ends and your data is handled as described in the Privacy Policy.

The service is provided “as is” without warranties of any kind, to the fullest extent permitted by law. We are not liable for indirect, incidental, or consequential damages, or for lost profits, revenue, or data. Our total liability for any claim is limited to the amount you paid us in the twelve months before the claim arose.

We may update these terms. If a change is material, we will update the effective date above and notify account holders by email before it takes effect. Continuing to use the service after that means you accept the updated terms.
